Terms of Service

Effective Date: April 2026 · European Union E-Commerce Compliance

Welcome to BadMic Studio. These Terms of Service ("Terms") constitute a legally binding agreement between BadMic Studio ("Studio", "we", "us", or "Alex") and the person or organization commissioning editing work ("Client", "you"). By ordering our podcast editing, video post-production, or repurposing services, you agree to these Terms.

1. Identification of Service Provider

Statutory Details: Independent media business registered in the EU pursuant to Directive 2000/31/EC. Full billing and tax identification is provided on every official invoice.

2. Scope of Services

BadMic Studio provides professional media editing services including, but not limited to:

  • Audio Post-Production: Dialogue de-noising, mouth de-click, acoustic leveling, spectral EQ, surgical compression, intro/outro/ad music integration, and broadcast loudness mastering to -14 LUFS or platform standard.
  • Video Podcast Editing: Multicam angle switching, color grading, pacing optimization, lower-thirds, graphic overlays, and frame-accurate audio-video synchronization.
  • Social Shorts Repurposing: Selecting viral hooks, vertical formatting (9:16), animated dynamic captions, B-roll insertions, and punchy zooms for TikTok, YouTube Shorts, and Instagram Reels.

3. Project Workflow & Delivery Timelines

  • Asset Delivery: The Client is responsible for uploading all raw audio/video files, assets (logos, fonts, music cues), and timestamped editing notes via cloud storage (Google Drive, Dropbox, Frame.io, or WeTransfer).
  • Turnaround Times:
    • Starter / Single Episodes: Standard turnaround is 3 to 5 business days from receipt of complete raw files.
    • Monthly Production Retainers: High-priority turnaround within 48 hours to match the creator's scheduled release calendar.
    • Rush Delivery: Accelerated 24h turnaround is available upon advance request, subject to capacity and rush fees agreed in writing.
  • Delivery Format: Deliverables are supplied in standard high-definition formats: 48kHz/24-bit uncompressed WAV or 320kbps MP3 for audio; 1080p or 4K ProRes/H.264/H.265 MP4 for video.

4. Revisions & Approvals

We take pride in getting the edit right:

  • Included Revisions: Every single-episode package includes 1 comprehensive revision round. Monthly production retainer packages include ongoing collaborative adjustments within 14 days of rough-cut delivery.
  • Feedback Protocol: Feedback must be compiled into a single consolidated, timestamped list (e.g. "04:12 - remove stumble; 18:35 - zoom into guest").
  • Scope Changes: Requests that deviate significantly from initial project parameters (such as recording new replacement dialogue, restructuring the entire episode storyline after sign-off, or adding extra camera angles not originally supplied) constitute a scope change and will be quoted separately.

5. Intellectual Property & Ownership

  • Client Raw Assets: The Client retains all rights and ownership in all raw footage, recordings, graphics, trademarks, and music tracks provided to the Studio. The Client warrants that it owns or has secured all necessary licenses for all materials provided.
  • Work Product & Final Masters: Upon receipt of full payment, BadMic Studio assigns to the Client all worldwide rights, title, and intellectual property in the finished master audio and video files.
  • Portfolio Showcase: Unless explicitly agreed otherwise under a written Non-Disclosure Agreement (NDA) prior to project kickoff, BadMic Studio reserves the non-exclusive right to reference, link to, or display short excerpts of publicly released episodes in its professional portfolio, client list, and promotional showreel.

6. Pricing, Payments, and Taxes

  • Currency & Invoicing: Prices are quoted in Euros (EUR), US Dollars (USD), or British Pounds (GBP). Electronic invoices are issued for all services rendered.
  • Payment Terms: For new clients or one-off episodes, payment is due upon order confirmation or prior to final unwatermarked master release. For monthly retainer clients, invoices are issued at the start of each billing cycle, payable within 14 calendar days.
  • Payment Methods: Payments are accepted via international bank transfer (SEPA / SWIFT) or secure electronic payment processors (Stripe, PayPal). Any intermediary bank transfer fees are borne by the Client.
  • EU VAT / Reverse Charge: For business clients registered in the European Union outside the provider's home state, VAT is handled via the reverse charge mechanism upon verification of a valid EU VAT number.

7. Cancellations & Refunds

  • Pre-Commencement: If an order is canceled before editing has commenced, any advance deposit is refunded in full, minus third-party processing transaction fees.
  • In-Progress: If an order is canceled after work has begun, the Client is billed pro-rata for the hours and production work executed up to the time of written cancellation notice.
  • Completed Works: Due to the customized nature of creative post-production services, once final approved master files have been rendered and delivered, fees are non-refundable.

8. Warranties & Limitation of Liability

  • BadMic Studio warrants that services will be performed with professional care, adherence to industry broadcast loudness standards (-14 LUFS), and clean editing techniques.
  • BadMic Studio is not liable for algorithmic performance, viewer engagement, subscriber growth, or revenue generation of the Client's podcast.
  • The Client is solely responsible for clearing copyright rights for third-party music, sound bites, or footage. BadMic Studio shall have no liability for Content ID claims, strikes, or demonetization arising from client-supplied audio or imagery.
  • To the maximum extent permitted by applicable law, BadMic Studio's total cumulative liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by the Client for the specific service under dispute.

9. Affiliate Disclaimer (Amazon Associates)

BadMic Studio participates in the Amazon Services LLC Associates Program. Equipment links on our website contain affiliate codes. While we only recommend hardware and tools we personally test and endorse, we are not the seller or manufacturer of these products. All purchases made on Amazon are subject to Amazon's independent terms of sale and warranty policies.

10. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the European Union and the Czech Republic, without regard to conflict of law principles. The parties agree to resolve any dispute amicably before resorting to formal legal proceedings in the competent courts of jurisdiction.
